These Terms & Conditions (“Terms”) govern the access and use of this website and its associated demo environment (the “Site”), operated by KOSHAL SOLUTIONS, S.L. (“KOSHAL”, “we”, “us”, “our”).

By accessing or using the Site, you (“User”, “you”) agree to be bound by these Terms. If you do not agree, you must not use the Site.

2. Purpose of the Site

The Site provides:

  • Information about Gaseus, a B2B platform and integration service for industrial gas equipment;

  • A demo environment for SAP OCI (PunchOut) and related workflows, where applicable;

  • Basic contact channels for potential suppliers, customers and partners.

The Site and any demo catalog or workflow available through it are provided for informational and demonstrational purposes only.

Nothing on the Site constitutes:

  • a binding commercial offer,

  • a guarantee of availability, pricing or conditions, or

  • legal, technical or commercial advice.

Any actual commercial relationship (contracts, purchase orders, prices, commissions, etc.) shall be governed exclusively by separate written agreements between the relevant parties, not by this Site.

3. Role of KOSHAL / Gaseus

KOSHAL, through the Gaseus platform, acts solely as a technological enabler:

  • we provide catalog and integration tools (e.g. SAP OCI / PunchOut) so that buyers can place orders directly from their own ERP systems with already accredited suppliers;

  • we do not act as seller, importer, distributor or logistics provider;

  • we do not hold stock and do not process payments between buyers and suppliers via this Site.

Responsibility for:

  • product conformity and certifications (e.g. CE, PED, ADR),

  • quality, safety and suitability of equipment,

  • export control, customs, logistics and warranty,

lies exclusively with the supplier and the buyer, under their own contracts and regulatory obligations.

4. Access and Use of the Site

You agree to use the Site:

  • only for lawful purposes and in good faith;

  • only within the scope of evaluating or interacting with Gaseus as a B2B integration and catalog service;

  • without attempting to damage, disrupt or overload the Site or its infrastructure.

In particular, you must not:

  • attempt to gain unauthorized access to any accounts, systems or data;

  • reverse engineer, decompile or otherwise manipulate the code or security of the Site;

  • upload or transmit any malicious code, malware or similar;

  • use the Site to send spam, unsolicited commercial messages or any content that is unlawful, defamatory, offensive or infringing third-party rights.

We reserve the right to suspend or block access to the Site for any user who violates these Terms or attempts to misuse the Site.

5. Accounts and Demo Access

In some cases, access to specific demo features or catalogs may require individual credentials provided by KOSHAL.

You agree to:

  • keep such credentials confidential and not share them with unauthorized third parties;

  • notify us immediately if you suspect unauthorized use of your credentials or any security issue.

Any activity performed using your credentials will be presumed to be performed by you or your organization, unless you notify us otherwise without undue delay.

6. Information, Content and Accuracy

We make reasonable efforts to ensure that the information presented on the Site is accurate and up to date, but:

  • information may be incomplete, approximate or subject to change at any time without prior notice;

  • technical specifications, product details, availability and other content may be illustrative or demonstrational only.

We do not guarantee that the content on the Site is free of errors, omissions or inaccuracies, and we assume no liability for decisions taken based on such information.

For any binding commercial, legal or technical decision, you must always refer to official documentation and specific contracts with the relevant parties.

Unless otherwise indicated, all content on the Site, including but not limited to:

  • texts, diagrams and descriptions,

  • logos, trademarks and trade names (including Gaseus and KOSHAL SOLUTIONS),

  • page layouts, design, structure and user interface,

  • demo configurations and documentation,

is protected by intellectual and industrial property rights and belongs to KOSHAL or its licensors.

You are granted a limited, non-exclusive, non-transferable right to access and view the Site solely for evaluation and informational purposes.

You may not, without prior written consent:

  • reproduce, distribute, modify, translate, adapt or create derivative works from the content;

  • use any trademarks or logos in a manner that may cause confusion or imply endorsement;

  • extract or reuse substantial parts of the Site or its database.

8. Data Protection and Privacy

Use of the Site may involve the processing of limited personal data (e.g. contact details, professional information) for:

  • handling your inquiries, demos or commercial contacts;

  • managing access credentials where applicable;

To the maximum extent permitted by law, KOSHAL shall not be liable for:

  • any indirect, incidental, special, consequential or punitive damages,

  • loss of profits, business, contracts, data or goodwill,

  • any damages resulting from interruptions, errors or security incidents,

  • decisions made or actions taken based on the information or demos provided on the Site.

In any case, and to the extent allowed by law, the aggregate liability of KOSHAL related to the use of the Site shall be limited to the amount of direct damages actually and demonstrably suffered, up to a maximum of 1,000 EUR.

12. Changes to the Site and to These Terms

We may, at any time and without prior notice:

  • modify, update or discontinue the Site or any part of it;

  • update these Terms in order to reflect legal changes, technical improvements or business needs.

The updated Terms will be published on the Site with a new “Last updated” date.

Your continued use of the Site after such publication will be deemed acceptance of the updated Terms.

13. Governing Law and Jurisdiction

These Terms and any non-contractual obligations arising out of or in connection with them shall be governed by and construed in accordance with the laws of Spain.

For any dispute arising from or related to the use of the Site or these Terms, the Parties submit to the exclusive jurisdiction of the courts of Barcelona (Spain), without prejudice to any mandatory jurisdiction that may apply to consumers (though the Site is intended for B2B use).
